Statement of Work (SOW)
An SOW is an outcome-based engagement where the vendor is responsible for delivering a defined scope — deliverables, milestones, and acceptance criteria — for a fixed price or capped budget. The vendor manages the team; the client accepts the output.
SOW is the right structure when the outcome is well-defined and the client wants to transfer execution risk. Enterprises prefer SOW for contingent-labor governance because SOW spend usually sits outside VMS/MSP tenure limits. Common failure mode: writing an SOW around a body of work that is really staff augmentation, then losing the vendor accountability because scope drifts.
